These Terms and Conditions ("Terms") govern your use of our services, including our website, mobile applications, investment products, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you and Zuudi Money Market Fund ("Zuudi," "we," "us," or "our").

Definitions

In these Terms, the following definitions apply:

• "Account" means a user account registered with Zuudi that allows access to our Services.
• "Business Day" means any day other than a Saturday, Sunday, or a day on which banking institutions are authorized or required by law or regulation to close.
• "Content" means all information, text, data, images, videos, audio files, and other materials that appear on or through our Services.
• "Fund" means the Zuudi Money Market Fund, its investment portfolios, and associated investment products.
• "Investment" means any amount you contribute to the Fund.
• "NAV" means Net Asset Value, the value of a single unit or share of the Fund.
• "Transaction" means any deposit, withdrawal, transfer, or other movement of funds related to your Account.
• "User," "you," or "your" means any individual or entity that accesses or uses our Services.

Eligibility

To use our Services, you must be:

1. At least 18 years of age;
2. Capable of forming a legally binding contract;
3. Not prohibited by law from using our Services;
4. A resident of a jurisdiction where our Services are available; and
5. In compliance with any additional eligibility requirements specified for particular investment products.

If you are accessing or using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms, and in such event, "you" and "your" will refer to both you and such entity.

Account Registration and Security

To access certain features of our Services, you must register for an Account. When you register, you agree to:

• Maintain and promptly update your Account information;
• Keep your password and security credentials confidential;
• Immediately notify us of any unauthorized access to your Account or any other breach of security; and
• Accept responsibility for all activities that occur under your Account.

We reserve the right to suspend or terminate your Account if any information provided is inaccurate, outdated, or incomplete, or if we have reason to believe that unauthorized access to your Account has occurred.

Fund Description

The Zuudi Money Market Fund is a collective investment scheme that invests in short-term, high-quality money market instruments, including but not limited to:

• Treasury bills and government securities;
• Commercial paper;
• Certificates of deposit;
• Corporate bonds with short maturities;
• Repurchase agreements; and
• Other money market instruments deemed appropriate by our fund managers.

The Fund aims to provide investors with:

• Preservation of capital;
• Liquidity for short-term financial needs; and
• Competitive returns consistent with the low-risk profile of the investments.

Important Notice: While money market funds are generally considered low-risk investments, they are not insured or guaranteed by any government agency, and it is possible to lose money by investing in the Fund. The Fund seeks to maintain a stable NAV, but there is no guarantee that it will be able to do so.

Investment Terms

Minimum Investment

Investment Process

To invest in the Fund, you must:

1. Register and complete all required verification procedures;

Unit Pricing and Valuation

The Fund's NAV is calculated at the end of each Business Day. Units are allocated to your Account based on the NAV on the Business Day your funds are received and processed, provided they are received before the daily cut-off time. Funds received after the cut-off time will be processed on the next Business Day.

Distributions and Reinvestment

The Fund distributes income to investors in the form of additional units, which are automatically reinvested unless you elect to receive distributions as cash payments. Distributions are calculated daily and credited to your Account according to the distribution schedule detailed in the Fund's prospectus.

Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by Zuudi, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from our Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide social media features with certain content, you may take such actions as are enabled by such features.

Prohibited Activities

You agree not to use our Services for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include, but are not limited to:

• Using our Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services;

• Engaging in any fraudulent activity or misrepresentation in connection with your use of the Services; and
• Using our Services for any commercial purpose without our prior written consent.

Indemnification

You agree to defend, indemnify, and hold harmless Zuudi, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your violation of any rights of another; or
• Your misuse of the Services.

Termination

We reserve the right, without notice and in our sole discretion, to terminate your account and/or block your access to our Services for any reason, including but not limited to a violation of these Terms.

You may terminate your Account at any time by:

1. Withdrawing all funds from your Account;
2. Notifying us in writing of your intention to close your Account; and
3. Completing any required Account closure procedures.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed severed from these Terms, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the sole and entire agreement between you and Zuudi regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
